Our services in this field include advising on company law and other laws and regulations affecting companies, incorporations, joint ventures and collaborations, funding, privatizations, corporate re-organisations, applications for licenses or governmental approvals or special statuses (Multimedia Super Corridor (MSC), Pioneer Status, Overseas Headquarters (OHQ) etc.), employment and industrial relations (including collective bargaining), employee share option schemes (ESOS), pledges of shares, trusts and powers of attorney,  receiverships and liquidations. Our lawyers routinely deal with government and regulatory authorities such as the Ministry of International Trade and Industry and the Economic Planning Unit. We regularly assist foreign clients in understanding and negotiating the complex Malaysian regulatory regime. We also have vast experience and expertise in listings on the London Stock Exchange.

Feroz & Co played an instrumental corporate role in the Offshore Aviation Contract with various Oil & Gas Companies with a contract value of cRM5.5 Billion.

Feroz & Co was also a key corporate advisor to the Pan Borneo Highway with a contract value of cRM14.0 Billion.

Feroz & Co was also a key corporate advisor to Stevian Biotechnology, a company incorporated in Malaysia and involved in the production of natural based sweetener from Stevia, which was admitted on the London Stock Exchange as Pure Circle Limited with a market cap of cRM3.0 Billion.

Feroz & Co was also a key corporate advisor to the acquisition of the Main Board Public Listed Company, Encorp Berhad with a value of cRM400 Million.

Mergers & Acquisitions

The firm regularly acts for both local and foreign clients in mergers and acquisitions (both local and cross border). We have considerable experience in acting for acquirers and vendors as well as target companies in various industries including reverse take-overs.

Our goal is to provide advice which is not just legally sound but also commercially practicable, thus ensuring that clients’ interests are well-protected.

Due diligence reviews are usually carried out by teams of lawyers deliberately drawn from different departments, which allows the full scope of our expertise to be brought to bear in any one transaction in a cost-effective manner.

Information Technology / Telecommunications

The phenomenon of digital convergence, the rise of the Internet, and the increasing importance of information technology in business have presented new challenges to lawyers worldwide. In Malaysia in particular, the government’s drive to create a knowledge-based society has spawned a host of new laws and regulatory frameworks.
