Dato' Feroz Moidunny – Managing Partner

Dato’ Feroz is the founder and Managing Partner of Messrs. Feroz & Co. He has over 31 years’ experience as a corporate lawyer. He also acts as a corporate advisor for most of the Companies under his clientele. Dato’ Feroz is highly regarded for his specialized expertise in providing solutions in complicated corporate and commercial issues. Accordingly, armed with that experience and expertise, Dato’ Feroz had been appointed as a director of various companies related to the oil and gas sector; natural sweetener company (world leading producer); manufacturing of specialized vehicles for army; satellite services (VSAT services); information technology provider in commercial and in education sector; Highway Projects; defence industry, television production, recording and entertainment industry and also solid waste management company.

He has more than 20 years’ experience in Offshore Companies and Offshore Banking. He has provided invaluable advice to clients both locally and overseas for their corporate and tax planning.

Dato’ Feroz has over 20 years’ experience in the Oil & Gas industry in particular in offshore Aviation Services, the 2D/3D Seismic Services and the Very Small Aperture Terminal (Satellite) services.

He was also a director in Felda’s subsidiary Encorp Berhad (listed on the KLSE) and sits as Chairman of the Nomination and Remuneration Committee.

Dato’ Feroz sits as a Chairman and as a director in Eltek Power (Malaysia) Sdn Bhd which is a subsidiary of Eltek ASA (listed on the Oslo Stock Exchange).

Dato’ Feroz was also a director in EnMedia Ventures which operated Bloomberg TV Malaysia, a new venture with the US media giant Bloomberg LP, a leading provider of financial and stock market data.

Dato’ Feroz was a member of the Board of Stevian Biotechnology, a company incorporated in Malaysia and involved in the production of natural based sweetener from Stevia, which was admitted on the London Stock Exchange as Pure Circle Limited with a market cap of cRM3.0 Billion.

Dato’ Feroz was also the Chairman and member of the Board of Ingenuity Solutions Berhad (listed on the KLSE).

He was also a member of the Board of KRU Berhad, a holding company, primary involved in the Recording Music Industry and Production Industry.

Dato’ Feroz was conferred the Darjah Kebesaran DiRaja Kedah (D.S.D.K) in January 2010 by the Kebawah Duli Yang Maha Mulia Tuanku AlHaj Abdul Halim Mu’adzam Shah ibni Almarhum Sultan Badlishah which carries the title Dato’.

Dato’ Feroz is registered as a Trademark Agent with Intellectual Property Corporation of Malaysia.

Dato’ Feroz is also a registered Nominee with the Malaysian Department of Insolvency for the purpose of voluntary arrangement under Insolvency Act 1967 and Insolvency (Voluntary Arrangement) Rules 2017.

Dato’ Feroz was also a Board of Trustees for Malaysian Palm Oil Certification Council (MPOCC) from April 2023 until July 2024.

Dato’ Feroz holds firm to the view that sound and secure financial concepts and well-structured industrial base are the pre-requisites to attain long term strategies.

Dato’ Feroz holds a Bachelors Degree in Law with Honours from Nottingham Trent University, United Kingdom. He completed his Bar examination at University Malaya, Malaysia in 1992. Dato’ Feroz was admitted to the Malaysian Bar in 1993.

Mastura Zaidi - Partner

Mastura has led, conducted and prepared several legal due-diligence exercises including for both public listed and private companies. She has prepared, reviewed and drafted joint venture co-operation, collaboration, equity acquisition including but not limited to drafting and reviewing corporate restructuring agreements, unincorporated and incorporated joint venture agreements, shareholders agreements and other corporate documents. Throughout her time with Messrs. Feroz & Co. she has been involved in handling a spectrum of highly specialised commercial issues.

Mastura has assisted the Managing Partner in various matters, including:-

  • advising our client in respect of a proposed development of an airport cargo in Malaysia worth cRM 7 Billion and drafting, reviewing and revising the joint venture agreement in respect thereof;
  • participate, advise, and assist our client in the discussion and negotiation of the award of a highway concession worth cRM 5 Billion, with the relevant government agencies. She also was involved in the drafting and reviewing of the concession agreement of the highway project;
  • assisting and advising our GLC client on several investment projects accumulating to a worth of cRM500 Million;
  • leading the corporate restructuring exercises, such as the restructuring of a company worth cRM 200 Million;
  • advising our GLC client for the proposed building of rehabilitation centre(s) in Ipoh and Terengganu and drafting, reviewing and revising the related documents in respect thereof;
  • reviewing and revising the services agreement in respect of provision of ROV pipeline inspection, doping service agreement and other related agreements between our clients and a prominent oil industry company;
  • advising a public listed company for the proposed acquisition of a company with an award of a concession for provision of maintenance work for a renowned university in Malaysia; and
  • advising our client in the discussion and negotiation of a concession agreement for the award of concession in respect of renovation works of dining hall(s), cookhouses and catering services for a government agency in several states of Malaysia.

Mastura graduated with LLB (Hons.) degree from Universiti Teknologi Mara in 2013. She joined Messrs. Feroz & Co. upon being admitted as an Advocate & Solicitor, High Court.

Izan Helmi Mohamed Aslar – Senior Associate

Izan-new

Izan Helmi specialises in corporate and commercial law and has years of experience in corporate and commercial matters, including infrastructure contracts and EPCC, Merger & Acquisition, share sales, licensing and franchising, intellectual properties and other types of commercial contracts. He has also conducted several corporate due diligence exercises.

In his early years of practice, he has served in the Group Legal Practice of Malaysian Airlines System Sdn Bhd where he advised and represented various units and departments in MAS and its subsidiary. He also worked in an established legal firm and was involved in various high value corporate and commercial projects.

Izan graduated with a bachelor of laws (LL.B) (Hons) from Universiti Teknologi Mara (UiTM) in 2007.

Nadia Diyana Feroz - Associate

Nadia Feroz

Nadia has actively participated and prepared a number of corporate due-diligence exercises. She works closely with the Partner and the Managing Partner to assist on matters pertaining to corporate and commercial transactions.

She assisted our Partners to review a concession agreement in respect to a highway project worth cRM 5 Billion.

She assisted our Partners on several investment projects of our GLC client, accumulating to a worth of cRM500 Million.

She assisted our Partners on a corporate transaction for the disposal of shares worth cRM50 Million in a company.

She has also assisted our Partners with drafting and reviewing term sheets, sale and purchase agreements, loan agreements, collaboration agreements, talent engagement agreements, memorandum of agreement, memorandum of understanding and other corporate documents.

Nadia is also a Board of Trustee for Yayasan Tuanku Nur Zahirah from July 2023.

Nadia read law in City, University of London and graduated with First Class Honours in Bachelor of Laws in 2020.

In 2021, Nadia commenced the Postgraduate Diploma Bar Vocational Studies in City, University of London and graduated in 2022. She was called to the Bar of England and Wales on 16th March 2023 at the Honourable Society of Gray’s Inn.

Nadia commenced her pupillage in Messrs. Feroz & Co. under the tutelage of the Managing Partner, Dato’ Feroz. She was admitted as an Advocate & Solicitor in the High Court of Malaya on 15th December 2023.
